Shawn Haghighi is a partner with Sklar Kirsh LLP. With over a decade of experience as a corporate attorney in large international law firms and as in-house counsel, Shawn has represented clients large and small on a wide range of matters. His broad practice includes experience with:
- Public and private M&A transactions, including private equity, going private transactions, joint ventures and spin-offs
- Private securities transactions, including private placements and venture capital
- Fund formation for private equity and real estate investment funds
- Public company representation, including SEC filings, NASDAQ and NYSE regulations and board of directors matters
Having represented clients from around the globe and ranging in size from individuals and start-ups to large institutions, Shawn’s expertise covers a wide range of industries including alternative energy, consumer products, gaming, healthcare and hospitals, insurance, internet and media, investment management and lending, medical sciences, pet food and health, private equity, produce and grocery, promotional goods manufacturers, real estate, software and technology, telecommunications and waste management.
Shawn began his legal career as an Associate in the New York and Los Angeles offices of Gibson, Dunn & Crutcher LLP. He then joined Oaktree Capital Management, L.P., a SEC registered multi-strategy investment management firm with over $80 billion in assets under management where, for 4 years as Vice President – Legal, he had primary legal responsibility for the firm’s global real estate and senior bank loan strategies, among numerous other duties. Most recently, Shawn was a Special Counsel in the Los Angeles office of Proskauer Rose LLP.
Shawn received his Bachelor of Science degree in Business Administration, with an emphasis in Finance, from California State University, Northridge in 1996. He was awarded his Juris Doctor from Loyola Law School in 2000, where he graduated magna cum laude and was admitted to the Order of the Coif, and was a Sayre Macneil Scholar and a member of the St. Thomas More Law Honor Society.
Shawn is admitted to practice law in the States of California and New York.
Shawn is a frequent lecturer, having presented on topics including “Drafting and Negotiating Convertible Preferred Stock Provisions: Protecting Interests of Businesses and Investors” and “Reverse and Forward Triangular Mergers.” Shawn has also been an Adjunct Professor of Law at Loyola Law School, Los Angeles, teaching Business Planning I: Financing the Start-UP Business and Venture Capital Financing.
He is married and lives in Century City, CA with his wife and their two sons.
